Terms of Service

Last updated: 2 November 2026 · Governing entity: MK Foreign Trade Studio (legal entity to be confirmed) · Registered address: registered address to be confirmed

1. Who you are contracting with

The services described on this site are provided by MK Foreign Trade Studio (legal entity to be confirmed), a business registered in the People's Republic of China (registration number registration number to be confirmed), operating under the name Sourcing Proof. Contact: [email protected].

By ordering a service you confirm you have authority to bind the business you represent, and that you are at least 18 years old.

2. What the service is

We provide three things: a remote supplier check, an on-site factory audit, and a pre-shipment inspection. Each is a defined piece of work with a written output. The scope of each is described on the pricing page at the time of order, and that description forms part of these terms.

What we do not do: we do not act as your purchasing agent of record, we do not hold or transmit your funds, we do not act as a licensed customs broker, we do not provide legal advice, and we do not guarantee any supplier's performance.

3. Reports are findings, not warranties

A report describes what was observed, looked up, or verified on the date stated in the report. It is a statement of fact and professional opinion as at that date.

It is not a warranty that a supplier will perform, that goods will conform to specification, that delivery will be on time, or that the supplier will remain in business. Conditions at a factory change. A check reduces risk; it does not remove it. Where a report could not establish something, the report says so.

4. Your obligations

5. Fees and payment

Fees are those published at the time of order. Payment terms: remote checks are invoiced on delivery; audits and inspections are payable before the visit; commission is payable 50% on order placement and 50% on shipment.

Payment is collected through a third-party payment processor. We do not receive or store your card details. Currency is US dollars. Bank charges and currency conversion costs are your responsibility.

6. Refunds

Refund terms are set out in the Refund Policy, which forms part of these terms.

7. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purpose of the engagement.

Supplier identities, quotations, product specifications and designs that you disclose are treated as confidential. They are not disclosed to any other client, not introduced to any third party, and not used for our own purchasing. We will sign a mutual non-disclosure agreement on request before work starts.

We may describe the method of a completed check in anonymised form (with company names, registration numbers and identifying product details removed) only where you have given written permission. You approve the wording before publication.

8. Independence and disclosed commissions

We are paid by you, not by suppliers. If a supplier offers any payment, rebate or benefit in connection with your order, it is disclosed to you in writing and deducted from our fee. We do not accept undisclosed factory-side commissions.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or in connection with these terms or the services is limited to the fees you paid for the specific service that gave rise to the claim.

We are not liable for indirect or consequential loss, including loss of profit, lost sales, marketplace account suspension, storage or demurrage charges, or loss of business, arising from any supplier's acts or omissions, from your commercial decisions, or from changes in customs or tariff treatment.

Nothing in these terms excludes liability that cannot lawfully be excluded.

10. Tariff and customs information

Duty rates, fee amounts and calculators published on this site are planning estimates. The amount legally owed is determined by your customs entry, your HTS classification, and the tariff measures in force on your ship date. We are not a customs broker and accept no liability for duty assessments, penalties or clearance delays.

11. Termination

Either party may end an engagement in writing. Work already performed is payable. If we end the engagement for a reason other than your breach, fees paid for work not yet performed are refunded.

12. Changes

These terms may be updated. The version in force is the one published on this page at the time you order, and it governs that order.

13. Governing law

These terms are governed by the laws of the People's Republic of China. The parties will attempt to resolve any dispute by written negotiation first. Failing that, the courts of the People's Republic of China have exclusive jurisdiction.
